Terms for vendors on the Zennvue marketplace.

The supplemental agreement that applies when you register as a Vendor on Zennvue. Covers Stripe Connect payments, marketplace Match Guarantee response standards, service commitments, client data, reviews, and marketplace conduct.

Applicability: This Vendor Agreement supplements the Zennvue Terms of Service and applies specifically to users who register as Vendors (event service providers) on the Platform. By registering as a Vendor, you agree to this Vendor Agreement in addition to the Terms of Service. The Terms of Service govern the overall use of the Platform, including limitations of liability, dispute resolution, and the auto-renewal notice cadence.

1. Vendor Eligibility and Verification

To register as a Vendor, you must be at least 18 years of age, be legally authorized to provide the event services you offer in your jurisdiction, hold all required professional licenses, certifications, and insurance applicable to your service category, and provide accurate business information. Viceroy NM may request documentation to verify your identity or business credentials at any time.

2. Marketplace Listing and Profile

Your marketplace listing is your public storefront on the Zennvue Platform. You are responsible for maintaining an accurate, current, and complete profile including: service category and description, geographic service area and travel radius, starting prices and package details, portfolio images representing your actual work, and availability.

Viceroy NM reserves the right to review, edit, or remove listings that violate our standards, contain inaccurate information, or are determined to be misleading. Viceroy NM does not guarantee any specific placement in search results or AI recommendations.

3. Stripe Connect and Payment Processing

To receive payments through the Platform, you must connect a Stripe account via Stripe Connect. You agree to Stripe's Connected Account Agreement at the time of onboarding.

0% Zennvue platform fee: Zennvue does not charge a platform fee on transactions processed through the marketplace. Stripe charges its standard payment processing fee, currently 2.9% plus $0.30 per transaction, which Stripe deducts directly before funds are transferred to your Stripe account. This is a Stripe fee, not a Zennvue fee, and it is the same fee you would pay using Stripe outside of Zennvue.

You are responsible for: all applicable taxes on your earnings, chargebacks and payment disputes with your clients, payout schedules and bank account configuration in Stripe, and maintaining sufficient funds or credit to cover any required refunds.

Viceroy NM reserves the right to introduce a Zennvue platform fee in the future. Any introduction or change to platform fees will be communicated to you with no less than sixty days advance written notice, and you may cancel your subscription at any time without penalty during that notice period.

4. Service Commitments

By accepting a booking through the Platform, you commit to:

  • Delivering the services described in the accepted proposal and signed contract.
  • Communicating professionally and promptly with clients.
  • Attending scheduled events unless prevented by documented circumstances outside your control.
  • Resolving client disputes in good faith.

Repeated cancellations, no-shows, or failure to fulfill contracted services may result in account suspension or termination.

5. Client Data and Privacy

Through the Platform, you will have access to Client data including contact information, event details, financial information (invoice amounts, payment status), and communications. You agree to:

  • Use Client data only for the purpose of delivering contracted services.
  • Not contact Clients for unsolicited marketing outside of the Platform.
  • Not sell, transfer, or share Client data with third parties.
  • Comply with applicable data protection laws, including the California Consumer Privacy Act (CCPA) where applicable to your Clients.
  • Delete Client data upon request, subject to your own legal retention obligations.

6. Reviews and Reputation

Clients may leave reviews of your services through the Platform. You agree not to:

  • Offer incentives for positive reviews.
  • Threaten or retaliate against Clients for negative reviews.
  • Submit fake reviews or ratings about yourself or other Vendors.
  • Attempt to manipulate review scores.

Viceroy NM reserves the right to remove reviews that violate our policies but does not edit review content.

7. Marketplace Competition and Non-Circumvention

When a Client contacts you through the Zennvue marketplace or your Zennvue booking page, you agree not to:

  • Direct that Client to transact outside the Platform for the purpose of avoiding any current or future Platform fees.
  • Share direct contact information (phone, personal email, external booking links) as the first response to a marketplace inquiry before a booking conversation has been initiated on Platform.
  • Use Platform-sourced Client data to build a competing marketplace or lead generation service.

8. Silver and Gold Marketplace Memberships

Silver and Gold Marketplace Memberships are optional add-ons that provide enhanced visibility, placement boosts in AI matching, and additional profile features.

Featured placement in category, Silver verified badge, priority in AI couple matching, up to 12 portfolio images. Available on Starter tier and up.

Gold Membership
$799/mo

Top placement in category and search, Gold verified badge, highest AI matching priority, unlimited portfolio images, featured video reel slot, monthly couples newsletter feature. Requires Professional tier or higher.

Membership benefits including placement boosts, AI match score improvements, and featured spotlights are provided on a best-effort basis. Viceroy NM does not guarantee specific ranking positions, inquiry volumes, or booking conversion rates. Membership fees are non-refundable except where required by applicable law. Viceroy NM may modify membership benefits or pricing with no less than thirty days advance written notice.

8.5. Marketplace Match Guarantee Response Standards

Zennvue offers Clients a Marketplace Match Guarantee on Pro and higher Customer plans: if a Client submits an inquiry and does not receive at least three qualified Vendor matches within forty-eight hours, the Client receives a credit toward their next subscription period. To support this commitment, all Vendors listed in the marketplace agree to the following response standards:

  • Acknowledge AI-matched inquiries from Clients within forty-eight hours of receipt.
  • Provide a substantive initial reply within ninety-six hours, even if a full proposal requires more time.
  • Update your availability calendar within a reasonable timeframe when your booking status changes.

Repeated failure to respond to AI-matched inquiries within these windows may result in temporary suspension of marketplace placement priority. Suspensions are not punitive and are removed when response patterns return to standard. Vendors are not obligated to accept any specific inquiry; the standard applies to acknowledgement only.

9. AI Features and Vendor Use

The Zennvue AI engine is powered by large language model providers, currently led by Anthropic Claude. AI-generated content (proposals, contracts, inquiry responses, follow-up sequences, and review replies) is provided to assist your workflow. You are solely responsible for reviewing and approving all AI-generated content before sending it to Clients. AI features are subject to the limitations described in the Terms of Service Section 7.

Viceroy NM may change or supplement its AI provider mix from time to time to maintain service quality, capability, and uptime. Any change in provider does not alter your subscription terms or the features included in your plan.

AI feature access varies by plan tier. The Starter plan includes a curated subset of AI features. Professional and higher plans include the full AI feature suite. Refer to the current pricing page for the canonical feature matrix.

9.5. Service Level Commitments

Viceroy NM commits to the following service levels for Vendor accounts on paid plans:

  • Platform availability: Target uptime of 99.9 percent measured monthly, excluding scheduled maintenance windows announced in advance.
  • Support response times: Email support is available during business hours (Monday through Friday, 8 AM to 6 PM Mountain Time, excluding US federal holidays). Priority 1 issues affecting platform availability or core functionality are acknowledged within one business hour of report.
  • Enterprise plans: Enterprise customers receive a dedicated point of contact, priority queue placement, and additional commitments as set out in the Enterprise order form.

Failure to meet uptime targets may result in service credits, calculated as a pro-rated portion of the monthly subscription fee for the period of unavailability. Service credits are the sole and exclusive remedy for service level failures. Force majeure events, scheduled maintenance, and outages caused by third-party providers (including upstream networking, payment processors, and AI providers) do not count toward uptime calculations.

When you deliver photo galleries, video files, or other content to Clients through the Platform, you represent that you own or have all rights necessary to deliver and license that content to the Client as described in your contract. You are responsible for maintaining backup copies of Client deliverables outside the Platform. Viceroy NM is not responsible for data loss.

11. Vendor Independence

You are an independent contractor, not an employee, partner, or agent of Viceroy NM. You are solely responsible for your taxes, insurance, business expenses, and compliance with applicable laws. Viceroy NM does not control the manner in which you deliver your services.

12. Termination, Liability, and Refunds

You may terminate your Vendor account at any time. Upon termination:

  • Your marketplace listing will be removed within twenty-four hours.
  • Existing bookings and contracts remain binding until fulfilled or mutually cancelled.
  • You remain responsible for delivering services for accepted bookings.
  • Your data, contracts, and historical records remain available for ninety days for export.
  • Annual subscribers who cancel mid-cycle receive a prorated refund for unused months.

Viceroy NM may terminate Vendor accounts for violations of this Agreement, the Terms of Service, or the Acceptable Use Policy.

Total liability for any claim arising out of or related to this Agreement is governed by the Terms of Service liability cap provisions, which cap liability at the greater of $5,000 or the fees paid by you to Viceroy NM in the twelve months preceding the claim, subject to standard carve-outs for intellectual property indemnification, confidentiality breach, gross negligence, willful misconduct, and amounts owed for fees.
