Our terms, policies, and guidelines for using the Zennvue platform, operated by Viceroy NM LLC (powered by Trunnion AI). Please read these carefully before using our services.
Important: These Terms of Service constitute a legally binding agreement between you and Viceroy NM LLC ("Viceroy NM," "Company," "we," "us," or "our"), the developer and operator of the Zennvue platform (powered by Trunnion AI). By accessing or using Zennvue, you agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Service.
1. Parties and Agreement
These Terms of Service ("Terms") govern your access to and use of the Zennvue platform, website, mobile applications, APIs, and all associated services (collectively, the "Service" or "Platform"), owned and operated by Viceroy NM LLC, a limited liability company ("Viceroy NM"). The Zennvue platform is powered by Trunnion AI, a proprietary AI engine developed by Viceroy NM.
By creating an account, accessing, or using the Service in any capacity — whether as a Vendor, Customer, or visitor — you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Acceptable Use Policy, Cookie Policy, and, if applicable, our Vendor Agreement.
2. Description of Service
Zennvue is a multi-tenant SaaS platform that provides an ERP (Enterprise Resource Planning) and marketplace solution for the creative event services industry. The Platform enables: (a) Vendors (event service providers such as photographers, DJs, caterers, florists, videographers, and event planners) to manage their client relationships, proposals, contracts, invoicing, scheduling, marketing, galleries, and analytics; and (b) Customers (event planners, couples, and individuals planning events) to discover, compare, book, and communicate with Vendors.
3. Eligibility
You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are registering on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
4. Account Registration and Security
4.1 Account Creation
You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for all activity that occurs under your account.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify Viceroy NM immediately of any unauthorized access or security breach at support@zennvue.com. Viceroy NM is not liable for losses arising from unauthorized use of your account.
4.3 One Account Per User
Each individual or business entity may maintain only one account, unless explicitly authorized in writing by Viceroy NM. Creating multiple accounts to circumvent subscription limits, bans, or other restrictions is prohibited and may result in termination of all associated accounts.
5. Subscription Plans and Billing
5.1 Subscription Tiers
Viceroy NM offers multiple subscription tiers for Vendors (Starter, Professional, Business, Studio, and Enterprise) and for Customers (Free and Pro), each with different feature sets, limits, and pricing as described on the Platform's pricing page. Features are gated by subscription tier; accessing features beyond your subscribed tier is not permitted.
5.2 Free Trials
Viceroy NM may offer free trial periods at its discretion. At the end of a free trial, your account will automatically convert to the applicable paid plan or a limited free tier unless you cancel prior to the trial's end. You authorize us to charge your payment method for the applicable subscription fee at the conclusion of any free trial.
5.3 Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in Section 5.5. By providing payment information, you authorize Viceroy NM to charge the applicable fees to your payment method on the applicable billing cycle.
5.4 Price Changes
Viceroy NM reserves the right to modify subscription pricing with at least 30 days' advance notice to you via email or Platform notification. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
5.5 Refunds
Subscription fees are generally non-refundable. Viceroy NM may, at its sole discretion, issue refunds or credits in limited circumstances (e.g., documented billing errors or extended service outages attributable to Viceroy NM). To request a refund, contact support@zennvue.com within 60 days of the charge.
5.6 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and assessments arising from your use of the Service, except for taxes based on Viceroy NM's net income.
5.7 Silver and Gold Marketplace Memberships
Silver ($299/month) and Gold ($599/month) Marketplace Memberships are optional add-ons available to Vendor subscribers. These memberships provide enhanced marketplace visibility, placement boosts in AI matching, and additional profile features as described on the pricing page. Membership fees are billed monthly, non-refundable, and may be cancelled at any time with effect at the next billing cycle.
6. Payment Processing and Stripe Connect
Client payments processed through the Platform are handled by Stripe, Inc. ("Stripe") via Stripe Connect. By using payment features, you agree to Stripe's Terms of Service and Connected Account Agreement. Viceroy NM charges a 2.9% platform fee on payments processed through the marketplace. Viceroy NM is not responsible for payment errors, bank holds, or disputes arising from Stripe's processing. You are solely responsible for managing chargebacks and disputes with your clients.
7. AI-Powered Features and Trunnion AI
7.1 Nature of AI Outputs
The Platform includes AI-powered features developed by Viceroy NM under the Trunnion AI brand, as well as integrations with third-party AI providers including Anthropic Claude, OpenAI, and Google Gemini. AI-generated content — including lead scores, revenue forecasts, proposal drafts, contract clauses, email copy, churn predictions, vendor match recommendations, and budget allocations — is provided for informational and operational assistance purposes only.
AI outputs are not legal, financial, or professional advice. You are solely responsible for reviewing, verifying, and approving any AI-generated content before use. Viceroy NM makes no warranty regarding the accuracy, completeness, or fitness of AI outputs for any particular purpose.
7.2 AI Content Ownership
AI-generated content produced through your use of the Platform is provided to you for your business use. You represent that you will review and take responsibility for any such content before sending it to clients, customers, or third parties. Viceroy NM is not liable for any consequences arising from your use of AI-generated content.
7.3 Brand Voice Data
When you upload communications to train a Brand Voice Profile, you grant Viceroy NM a limited license to process that data for the purpose of generating your Brand Voice Profile. This data is stored securely, used only for your profile, and is deleted upon account termination.
7.4 AI Provider Limitations
AI features depend on third-party providers and may be unavailable due to provider outages, rate limits, or policy changes. Viceroy NM is not liable for interruptions to AI features caused by third-party providers.
8. Intellectual Property
8.1 Viceroy NM Ownership
The Platform, including its software, design, code, databases, trademarks, trade dress, and all content created by Viceroy NM, is owned by Viceroy NM and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without express written consent.
8.2 Your Content
You retain ownership of all content you upload to the Platform ("User Content"), including portfolio images, business information, client communications, and event data. By uploading User Content, you grant Viceroy NM a limited, non-exclusive, royalty-free license to host, display, and process your User Content solely to provide the Service.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant Viceroy NM an irrevocable, perpetual, royalty-free license to use that feedback for any purpose without compensation to you.
8.4 DMCA and Copyright
Viceroy NM respects intellectual property rights. If you believe content on the Platform infringes your copyright, please send a DMCA notice to hello@zennvue.com including the information required under 17 U.S.C. § 512(c)(3).
9. Vendor Marketplace and Lead Generation
Vendors who create marketplace listings acknowledge that their profiles, portfolios, pricing, and reviews may be displayed to Customers and used by the Platform's AI matching engine to generate recommendations. Viceroy NM does not guarantee any minimum number of leads, inquiries, or bookings. Lead quality and volume depend on market conditions, profile completeness, pricing competitiveness, and other factors outside Viceroy NM's control.
10. Prohibited Conduct
You agree not to: (a) use the Platform for any unlawful purpose; (b) violate any applicable law or regulation; (c) infringe the intellectual property rights of others; (d) transmit viruses, malware, or other harmful code; (e) scrape, crawl, or harvest data from the Platform without authorization; (f) circumvent, disable, or interfere with security features; (g) create false accounts or impersonate any person or entity; (h) spam, harass, or abuse other users; (i) use the Platform to conduct competitive intelligence against Viceroy NM; or (j) sublicense, resell, or commercially exploit access to the Platform without authorization. Violation may result in immediate account termination.
11. Third-Party Services and Integrations
The Platform integrates with third-party services including Stripe, Pusher, Resend, Twilio, Anthropic, OpenAI, Google, and others. Your use of these services is governed by their respective terms of service and privacy policies. Viceroy NM is not responsible for the availability, accuracy, or reliability of third-party services.
12. Disclaimers of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VICEROY NM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VICEROY NM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VICEROY NM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. VICEROY NM'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VICEROY NM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
14. Indemnification
You agree to indemnify, defend, and hold harmless Viceroy NM and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting hello@zennvue.com. We will attempt to resolve the dispute within 30 days.
15.2 Binding Arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in New Mexico. The arbitrator's decision shall be final and binding. You waive the right to a jury trial and the right to participate in a class action.
15.3 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction for violations of intellectual property rights or to prevent irreparable harm.
16. Termination
16.1 Termination by You
You may terminate your account at any time by going to Settings → Billing → Cancel Subscription or by contacting support@zennvue.com. Termination does not entitle you to a refund of prepaid fees.
16.2 Termination by Viceroy NM
Viceroy NM may suspend or terminate your account, with or without notice, for: violation of these Terms; conduct harmful to other users or the Platform; non-payment of fees; or any other reason at Viceroy NM's sole discretion.
16.3 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. Viceroy NM may delete your account data 30 days following termination. Sections 8, 12, 13, 14, 15, and 17 survive termination.
17. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Vendor Agreement (if applicable), constitute the entire agreement between you and Viceroy NM regarding the Service.
Governing Law: These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
Waiver: Failure by Viceroy NM to enforce any provision does not constitute a waiver of that provision.

Who controls your data: Viceroy NM LLC, the developer and operator of Zennvue (powered by Trunnion AI), is the data controller for information collected through the Platform. This Privacy Policy describes how we collect, use, disclose, and protect your information.
1. Information We Collect
1.1 Information You Provide
- Account Information: Name, email address, phone number, business name, business type, and password when you register;
- Profile and Business Information: For Vendors — business details, service categories, pricing, portfolio images, service area, bio, and social media links;
- Communications: Messages sent through the Platform between Vendors and Customers, support inquiries, and email correspondence with Viceroy NM;
- Financial Information: Billing details processed via Stripe (we do not store raw card numbers); bank account information for Stripe Connect payouts;
- User Content: Portfolio images, gallery photos, proposals, contracts, client records, event data, and any other content you upload to the Platform;
- AI Training Data: Communications you upload to create Brand Voice Profiles.
1.2 Information Collected Automatically
- Usage Data: Pages visited, features used, clicks, search queries, time spent on pages, and interaction patterns;
- Device and Technical Data: IP address, browser type, operating system, device identifiers, and referral URLs;
- Cookies and Tracking Technologies: As described in our Cookie Policy;
- Log Data: Server logs including timestamps, request types, response codes, and error messages.
1.3 Information from Third Parties
- Payment Processors: Transaction confirmations and payout status from Stripe;
- AI Providers: Processed outputs from Anthropic, OpenAI, and Google Gemini in connection with AI features (we do not receive your raw prompts back from providers);
- Analytics Providers: Aggregated usage analytics.
2. How We Use Your Information
We use your information to: provide and operate the Platform; process payments and manage subscriptions; generate AI-powered features (lead scoring, proposals, forecasts, matching); send transactional communications (invoices, contracts, notifications); provide customer support; improve Platform functionality and fix bugs; enforce our Terms and policies; comply with legal obligations; and send marketing communications (with your consent, where required).
3. How We Share Your Information
3.1 Marketplace Visibility
Vendor profile information (name, bio, portfolio, service category, starting price, service areas, and reviews) is displayed publicly on the Zennvue marketplace to enable discovery by Customers.
3.2 Service Providers
We share data with service providers who help us operate the Platform: Stripe (payments), Pusher (real-time communication), Resend (email), Twilio (SMS), Anthropic/OpenAI/Google (AI processing), and cloud hosting providers. These parties are contractually bound to protect your data and may only use it to provide services to us.
3.3 Business Transfers
In the event of a merger, acquisition, or sale of assets, your data may be transferred to the acquiring entity, subject to the same privacy protections.
3.4 Legal Compliance
We may disclose your information if required by law, court order, or government authority, or to protect the rights, property, or safety of Viceroy NM, our users, or the public.
3.5 We Do Not Sell Your Data
Viceroy NM does not sell, rent, or trade your personal information to third parties for their marketing purposes.
4. Data Retention
We retain your account data for as long as your account is active. After account termination, we retain data for up to 30 days before permanent deletion, unless a longer retention period is required by law. AI training data (Brand Voice samples) is deleted upon account termination. Backup data may persist for up to 90 days in encrypted backups before overwrite.
5. Your Rights
Depending on your location, you may have the right to: access a copy of your personal data; correct inaccurate data; request deletion of your data; object to or restrict certain processing; and data portability. To exercise these rights, contact hello@zennvue.com. We will respond within 30 days. We may need to verify your identity before processing requests.
6. Security
We implement industry-standard security measures including: TLS encryption for data in transit; AES-256 encryption for data at rest; JWT session tokens validated at edge middleware; organization-scoped database queries preventing cross-tenant data access; role-based access controls; and regular security audits. Despite these measures, no system is perfectly secure. We cannot guarantee absolute security.
7. Children's Privacy
The Platform is not directed to individuals under 18. We do not knowingly collect personal information from minors. If we learn we have collected data from a minor, we will delete it promptly.
8. Changes to This Policy
We may update this Privacy Policy from time to time. We will notify you of material changes via email or Platform notice at least 14 days before the effective date. Your continued use constitutes acceptance of the updated policy.

Strictly Necessary Cookies
These Cookies are essential for the Platform to function and cannot be switched off. They are set in response to your actions, such as logging in, setting preferences, or processing payments. Examples include:

- Feature adoption tracking to identify which modules are most and least used;

Marketing and Targeting Cookies
These Cookies may be set through the Platform by our advertising partners to build a profile of your interests and show you relevant advertising. They do not store directly personal information but uniquely identify your browser and device. You may opt out of these Cookies without affecting Platform functionality.
Third-Party Cookies
Some cookies on the Platform are set by third parties including Stripe (payment processing), Pusher (real-time communication), and analytics providers. These parties have their own privacy and cookie policies. We encourage you to review them.

Policy Overview: This Acceptable Use Policy ("AUP") governs all use of the Zennvue Platform operated by Viceroy NM LLC. All users — Vendors, Customers, and visitors — must comply with this AUP. Violations may result in immediate suspension or permanent termination of your account without refund.
1. Prohibited Conduct — All Users
You may not use the Zennvue Platform to engage in any of the following:
Illegal Activity
- Conduct that violates any applicable local, state, federal, or international law or regulation;
- Money laundering, fraud, identity theft, or any other financial crime;
- Facilitating transactions for illegal goods or services;
- Violating any export control, economic sanctions, or trade compliance laws.
Abuse and Harassment
- Harassing, threatening, bullying, intimidating, or discriminating against any user based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic;
- Posting or transmitting defamatory, obscene, or offensive content;
- Contacting users who have blocked you or requested no further contact.
Platform Integrity
- Attempting to gain unauthorized access to any account, system, or network;
- Introducing malware, viruses, ransomware, or other harmful code;
- Using automated tools, bots, or scrapers to access or harvest data from the Platform without authorization;
- Reverse engineering, decompiling, or disassembling the Platform's software;
- Testing Platform security without Viceroy NM's explicit written permission;
- Circumventing subscription limits, feature gates, or access controls.
Fraudulent or Deceptive Conduct
- Creating fake reviews, testimonials, or ratings;
- Misrepresenting your identity, qualifications, or business;
- Posting inaccurate pricing, availability, or service descriptions;
- Creating multiple accounts to circumvent restrictions or abuse free trials.
Intellectual Property Violations
- Uploading content that infringes third-party copyrights, trademarks, or other intellectual property rights;
- Using the Platform to distribute pirated software or unauthorized reproductions of copyrighted works.
AI Feature Misuse
- Attempting to manipulate AI outputs to produce false lead scores, inflated revenue forecasts, or biased vendor recommendations;
- Using AI-generated content to deceive clients or misrepresent your services;
- Attempting to extract training data, model weights, or proprietary AI configurations from the Platform.
2. Vendor-Specific Obligations
- Maintain accurate and current marketplace profiles, pricing, and availability;
- Honor accepted bookings and fulfill contracted services as described;
- Respond to client inquiries within a reasonable timeframe;
- Not solicit Customers discovered through the Platform to transact outside the Platform in order to avoid platform fees;
- Maintain all required licenses, insurance, and certifications for your service category;
- Not use Client data obtained through the Platform for purposes other than fulfilling their event services.
3. Customer-Specific Obligations
- Provide accurate event information when requesting services or using AI matching tools;
- Honor accepted proposals and signed contracts;
- Pay invoices on time according to agreed payment schedules;
- Not submit false or malicious reviews;
- Not attempt to contact Vendors outside the Platform to circumvent booking protections.
4. Content Standards
All content uploaded to the Platform, including portfolio images, messages, reviews, and documents, must: be accurate and not misleading; not infringe any third-party intellectual property rights; not contain adult content, hate speech, violence, or discriminatory material; comply with applicable laws; and not contain personal information of third parties without their consent.
5. Reporting Violations
If you observe conduct that violates this AUP, please report it to support@zennvue.com. We review all reports and take appropriate action, which may include content removal, account suspension, or referral to law enforcement.
6. Enforcement
Viceroy NM reserves the right to investigate potential violations of this AUP and may take any action it deems appropriate, including: issuing warnings; temporarily suspending accounts; permanently terminating accounts without refund; removing content; limiting access to features; and cooperating with law enforcement investigations. Viceroy NM's decisions regarding enforcement are final.
7. Updates
This AUP may be updated periodically. Material changes will be communicated via email or Platform notice. Continued use of the Platform after changes constitutes acceptance of the updated AUP.

Applicability: This Vendor Agreement supplements the Zennvue Terms of Service and applies specifically to users who register as Vendors (event service providers) on the Platform. By registering as a Vendor, you agree to this Vendor Agreement in addition to the Terms of Service.
1. Vendor Eligibility and Verification
To register as a Vendor, you must: be at least 18 years of age; be legally authorized to provide the event services you offer in your jurisdiction; hold all required professional licenses, certifications, and insurance applicable to your service category; and provide accurate business information. Viceroy NM may request documentation to verify your identity or business credentials at any time.
2. Marketplace Listing and Profile
Your marketplace listing is your public storefront on the Zennvue Platform. You are responsible for maintaining an accurate, current, and complete profile including: service category and description; geographic service area and travel radius; starting prices and package details; portfolio images representing your actual work; and availability.
Viceroy NM reserves the right to review, edit, or remove listings that violate our standards, contain inaccurate information, or are determined to be misleading. Viceroy NM does not guarantee any specific placement in search results or AI recommendations.
3. Stripe Connect and Payment Terms
To receive payments through the Platform, you must connect a Stripe account via Stripe Connect. You agree to Stripe's Connected Account Agreement. All client payments processed through the marketplace are subject to a 2.9% platform fee, deducted before funds are transferred to your Stripe account. You are responsible for: all applicable taxes on your earnings; chargebacks and payment disputes with your clients; and maintaining sufficient funds or credit to cover any required refunds.
4. Service Commitments
By accepting a booking through the Platform, you commit to: delivering the services described in the accepted proposal and signed contract; communicating professionally and promptly with clients; attending scheduled events unless prevented by documented circumstances outside your control; and resolving client disputes in good faith. Repeated cancellations, no-shows, or failure to fulfill contracted services may result in account suspension or termination.
5. Client Data and Privacy
Through the Platform, you will have access to Client data including contact information, event details, financial information (invoice amounts, payment status), and communications. You agree to: use Client data only for the purpose of delivering contracted services; not contact Clients for unsolicited marketing outside of the Platform; not sell, transfer, or share Client data with third parties; comply with applicable data protection laws; and delete Client data upon request, subject to your own legal retention obligations.
6. Reviews and Reputation
Clients may leave reviews of your services through the Platform. You agree not to: offer incentives for positive reviews; threaten or retaliate against Clients for negative reviews; submit fake reviews or ratings about yourself or other Vendors; or attempt to manipulate review scores. Viceroy NM reserves the right to remove reviews that violate our policies but does not edit review content.
7. Marketplace Competition and Non-Circumvention
When a Client contacts you through the Zennvue marketplace or your Zennvue booking page, you agree not to: direct that Client to transact outside the Platform for the purpose of avoiding Platform fees; share direct contact information (phone, personal email, external booking links) as the first response to a marketplace inquiry before a booking conversation has been initiated on Platform; or use Platform-sourced Client data to build a competing marketplace or lead generation service.
8. Silver and Gold Marketplace Memberships
Silver ($299/month) and Gold ($599/month) Marketplace Memberships are optional add-ons. Membership benefits including placement boosts, AI match score improvements, and featured spotlights are provided on a best-effort basis. Viceroy NM does not guarantee specific ranking positions, inquiry volumes, or booking conversion rates. Membership fees are non-refundable. Viceroy NM may modify membership benefits with 30 days' notice.
9. AI Features and Vendor Use
AI-generated content — including proposals, contracts, inquiry responses, follow-up sequences, and review replies — is provided to assist your workflow. You are solely responsible for reviewing and approving all AI-generated content before sending it to Clients. AI features are subject to the limitations described in the Terms of Service Section 7.
10. Gallery Delivery and Client Content
When you deliver photo galleries, video files, or other content to Clients through the Platform, you represent that you own or have all rights necessary to deliver and license that content to the Client as described in your contract. You are responsible for maintaining backup copies of Client deliverables outside the Platform. Viceroy NM is not responsible for data loss.
11. Vendor Independence
You are an independent contractor, not an employee, partner, or agent of Viceroy NM. You are solely responsible for your taxes, insurance, business expenses, and compliance with applicable laws. Viceroy NM does not control the manner in which you deliver your services.
12. Termination of Vendor Account
You may terminate your Vendor account at any time. Upon termination: your marketplace listing will be removed; existing bookings and contracts remain binding until fulfilled or mutually cancelled; you remain responsible for delivering services for accepted bookings; and you forfeit any prepaid subscription fees. Viceroy NM may terminate Vendor accounts for violations of this Agreement, the Terms of Service, or the Acceptable Use Policy.
